Shalom Leaf’s legal practice focuses on the representation of:

    • Early-stage and established companies, joint ventures, entrepreneurs and executives in organizational, governance, personnel, financing, securities, M&A, “corporate strife,” restructuring and intellectual property matters.

    • Venture funds and other financing sources in equity and debt transactions.

    • Research and educational institutions and other not-for-profits in corporate matters, including technology transfer and equity arrangements with licensees of institutional technologies.

Shalom has represented clients in the bioscience, Internet, software, computer hardware, media, entertainment, beverage, apparel, real estate, venture capital and securities industries and has more than 15 years of experience representing major national research institutions. He is a 1988 graduate of the New York University School of Law.  He has been a counsel at Herrick, Feinstein LLP and a partner at Squadron, Ellenoff, Plesent & Sheinfeld, LLP and Hogan & Hartson LLP.  

Shalom is admitted to the New York State Bar.  Shalom is admitted to New York State Bar. He has served as Chairperson of the Technology and Venture Law Committee of the New York State Bar Association and on its Securities Regulation Committee. He has presented at programs sponsored by the New York State and New York City Bar Associations and at other professional and industry venues, including the Association of University Technology Managers.

Shalom has been active in community affairs and was honored by the leadership of United Jewish Communities and the Conference of Presidents of Major American Jewish Organizations for his pro bono work. 

Shalom established his independent legal practice in January 2008.  He prides himself on providing dedicated personal service, sophisticated legal analysis, negotiation and drafting, and thoughtful, practical counsel aimed at efficiently realizing his clients’ business objectives.
